L’imad, the independent investor of the Abu Dhabi government, has announced that it will increase its share in AD Ports Group to over 98.5 percent. This decision comes after the announcement of a voluntary buyout offer for the company, which will be legally valid from August 18, 2026, to September 15, 2026.
Details of the Buyout Offer
The buyout offer was made through L’imad's wholly-owned subsidiary, Abu Dhabi Development Company (ADQ). Currently, L’imad's share in AD Ports Group is 75.4 percent, and after the completion of this offer, this share will rise to over 98.5 percent. This process must be completed by October 9, 2026.

All conditions of this offer have been met, and only a number of customary announcements need to be sent to the capital market and Abu Dhabi Stock Exchange (ADX). Payment to the shareholders of AD Ports Group and the registration of shares in the name of ADQ will also be completed by October 9.
Operational and Development Areas
AD Ports Group is part of L’imad's port and logistics platform, which includes Etihad Rail and Aramex connections. With these investments, L’imad is developing an industrial free zone in the Khalifa Economic Zones of Abu Dhabi (Kezad) in collaboration with AD Ports Group and is also participating in the completion of the first regional railway network with Etihad Rail connections.
L’imad first expressed its intention to fully acquire AD Ports Group on August 17, 2026, offering shareholders a 23 percent premium over the last closing price. The cash offer of 6.25 dirhams per share represented a 25 percent premium over the one-month weighted average and a 31 percent premium over the three-month average. This announcement followed a report from AD Ports Group indicating an 88 percent increase in net profit in the second quarter to 836 million dirhams due to strong marine, transportation, free zone, and logistics activities.
